Forex Training- Probably The Most Important Lesson Of All

Many beginners start out their Forex training by gradually building up a plethora of indicators with charts obliterated with every signal imaginable. No wonder such new traders often freeze with indecision as one signal seems to contradict another.

There is however a very simple indicator, that when fully understood, forms the backbone of all future Forex training and trading! What is it?

Before revealing it, guard against a typical reaction such as: "Is that it? I know all about that!"

This indicator, due to its simplicity, is often under-valued and insufficient time is spent by new traders in their Forex training sessions really getting to grips with it.

Probably The Most Powerful Indicator Of All

Now, what is it?

Support and Resistance!

To state it clearly, your Forex training will only start to really move ahead when you fully understand the impact that support and resistance have on market action. Here is a key principle to understand:

Support becomes resistance. Resistance becomes support.

Why is understanding this so crucial?

Because the thousands of traders in the global market place, handling billions of dollars for the big institutions, are constantly monitoring where price has been before.

If price reached a peak some days ago and has since retraced, that level that was reached becomes a key level of resistance. If you enter a trade anywhere near that level, understand that it will take major buying pressure to get price above that level.

Conversely, if price fell to a deep low within the last week or few days, for price to continue on down there is going to have to be intense selling pressure to pass that level which has now become support.

An Interesting Market Behavior Pattern

But now here is an interesting market behavior pattern you must drill into your brain as part of your Forex training:

Once price does break through that key level of resistance, it now becomes a level of support. If it is a key level of resistance that is broken, once price has moved on through by 20, 30 or 40 pips, it can become major support. What does that mean for the trader?

It is often possible to enter a trade at an optimal point by simply waiting for price to come back to test that strategic level that was broken.

So rather than chasing price and hastily putting a trade in once the market has started to move in a certain direction, wait for price to pull back to that key level that was broken. Put an entry order in at the level and wait for price to pull you in to the trade.

It may continue in the direction for 5-10 pips putting you in deficit but if you have done your research properly and identified this as a key level using other indicators such as Fibonacci or pivot levels, you need not fear. Price will quickly pull back, cover your dealing spread, and from there on you can enjoy the satisfaction of seeing price move toward your price target.

Time and time and time again the market behaves in this pattern. Exercising patience while you undergo your Forex training, and looking out for this particular market pattern can yield huge results.

Understanding support and resistance will give you an unbelievable edge on understanding how the market works. This in turn will help you enter and manage your trades to a highly accurate degree with minimal stops and reasonable, reachable targets.

Rather than trying to hit the home run, by looking at the next key level of support or resistance where price is likely to stall, you can walk away with a reasonable profit by setting your price target accordingly.

Look Under Your Feet

Rather than searching for some complicated, 'advanced' trading system, why not concentrate on what is right under your feet.

Get to grips with support and resistance, learn to quickly identify these levels once you open a chart, draw lines where you can see major support and resistance, especially on the higher time frames, and everything else you learn during your Forex training will fall into place.

Trading Oil and Gas Contracts Using CFDs

Many traders do not realise that Contracts for Difference can be used not just for stockmarket trading, but also in the forex and commodities markets, and one of the most liquid and exciting markets is crude oil and natural gas. CFDs are usually modelled in the same way as futures contracts, and consequently there are several contracts from which to choose in each category.

It is well known that the crude oil market is normally priced either as either Brent crude or US crude. The current spread between the two is about $3.5, Brent being higher, but this varies according to supply and demand, liquidity and other geopolitical issues.

Different contracts

Within each market, several expiration months are quoted and at the time of writing (June 2007) July, August and September CFDs are available. The difference in prices between the various contracts reflects the cost of carry and other seasonal factors as it would for all commodities.

What this means is that you do not pay financing interest on these CFDs, because all positions are rolled over into expiry and the contract values already price in the cost of carry.

What can you trade?

It is possible to trade various many different CFDs related to oil prices. These include:

Heating oil, for which there is a liquid US-based quote with several expirations

UK Oil and Gas sector CFDs

US Oil and Gas sector CFDs

Individual oil share CFDs including such varied names as Royal Dutch Shell, Statoil, Total-Fina, Exxon Mobil and many smaller oil company stocks around the world

Calculating the margin on a US crude contract

As we analyse the US crude oil market every day in our US report, it is worth looking at this contract to calculate what margin is required on a trade.

The current most liquid contract is the July 2007 CFD, priced at $65.86 to $65.92

The margin requirement on most commodities is 3% of the total contract value.

The tick size is 0.01.

The contract value is calculated by this formula:

((Quantity) x (Price))/ Point= initial margin

Therefore if you were to buy 10 US Crude Oil CFDs at $65.92

(10 x 49.50)/ 0.01 x 0.03 = $1,978 initial margin.

The exposure per tick is worth $10.

For online traders, CFDs are an excellent way to gain exposure to the oil market as a speculative play, for hedging purposes, or when searching for good arbitrage possibilities. The markets are liquid and spreads are very attractive.

13 Steps to Protect Yourself from Your Bank

The success of your business is critically dependent on how well you negotiate and manage your financial partners. Banks, investors, credit cards and financial services companies work for you. Therefore, you need to be sure you are working together, understand the plans of each and have the best idea of what and how things will happen when times get tough.

It is very simply like dating, and you need to be acutely aware of how words, actions and contracts meld together to form a base for your business structure to build on.

1.Ask for resume of your loan officer and if a small community bank the resume(s) or work history of the principals. Banks have one of the fastest turn over rates and as the industry continues to consolidate, so people are moving fast. Its not always the bad ones that move on, there are actually good folks that get snapped up by the private sector. Know how often they move, and where to and where from. And, ultimately, if you can go with, assuming the relationship is good.

2.Ask to meet 2 to 3 levels up. Loan officers boss, senior vice president of commercial lending and again, in small community banks, a principal. If your bank contact shows up missing, you have a critical issue that you most likely dont have the time to deal with now.

3.Ask for references of businesses within you range loan, and/or business type. If they wont give you the other companies name, ask them to have their clients call you. Make sure they are similar in size, industry and financial requirements. Be prepared to ask tough and pointed questions to uncover the real types of people you are dealing with to determine what it will be like beyond the honeymoon stage.

4.Ask for their standings in state and federal regulator groups including FDIC. Be aware that in many cases it is against regulations for bank employees to tell you they are in trouble. Get the history and then follow up on the FDIC website and state banking authorities. These groups may ultimately decide what the bank can and cant do with account.

5.Ask what happens when times get tough. Blow up the bomb, talk about the worst case scenarios and get the reaction of how your bank will handle a takeover, regulatory change, or a late payment.

6.Request the financial intuitions long term plans. Sell. Merger. Growth. The bank wants to know your long term plans and how they can be part of it. Shouldnt you know what they are planning on doing? If they are going to buy up other banks, or be bought? What happens to your great (or mediocre) bank relationship? Ask often and frequently where the banks see themselves going in the community and within their industry.

7.Draw up a close-out plan if you want to direct the process. If you hold special permits or plan to be involved with your company to the bitter end, figure out how that will be handled. Discuss and get agreements with your financial partners.

8.Invite Board of Directors to your business. Not only are they powerful allies with your bank they are often influential in the community. The more you develop the relationship, they more they can be aware and helpful in moving your business forward, in and outside the bank.

9.Sign any amendments to loan security agreements at the same time you enter into a loan relationship. Neither should be determined to be of more importance if you are going to create an equal and balance long term relationship. Nothing should be an additional or an oversight but one complete and equally negotiated agreement.

10.Request quarterly reports on changes within the bank. Read them and ask questions about what they mean to you and your business relationship.

11.Demand annual updates on areas that blend your business and your business services. Are they adding services to benefit you or cutting areas that will be vital to the growth, profitability and success of your business.

12. Recap all meetings and phone conversations in writing and copy supervisors in your company and at the bank. When times are good, you want every one to know it. And when you need help or relationship begin to gradually, or like a sudden summer storm, explode, you want your communication and your plans to be exacting, detailed and with a concise trail.

13. Continue to meet with other institutions and dont consolidate your business.

Clearing your office space and getting it organized is a good thing to do every once and a while. As you create your space and plan your schedule, you can incorporate tools and leave time for mini-spa experiences within your workdays. You can do many easy things in your office environment to give you powerful rejuvenating opportunities.

Here are some tips for either your home office or your corporate office:

--You can create a 5-minute "mini-steam" right at your desk. This can open your sinuses, your pores, and your mind and give you a much-needed highly rejuvenating break in your workday. Pour hot water in a cup. Put 2 - 3 drops of an essential oil such as eucalyptus, lavender, or peppermint in the cup. Put your face over the cup and take a large file folder capping over your head to create an enclosed environment. Close your eyes and take a few deep breaths. Write on the outside of the file folder in black marker "Taking a 5 minute spa break - Do Not Disturb!"

--Give yourself a 2-minute acupressure session with points on your face. Some people call this a non-surgical face-lift. This uses the Asian principles of opening up the channels of energy or "chi". It can give you an instant uplift, alleviate a headache, clear mental fog, and bring a glow to your face. Using both hands with the pads of your first 2 fingers press firmly all over both sides of the face.

--Take a 4-minute fantasy vacation. Close your eyes, put your feet up on your desk, take a deep breath and picture your favorite vacation spot. See yourself there feeling good and having a great time. The unconscious mind doesn't know the difference between a real or imagined event. Your body will thank you!

--Rap over a wrap. Have a spa cuisine lunch with a good friend. Sandwich wraps filled with veggies and protein are a good healthy lunch. Combine that with a "heart to heart" conversation for great stress reduction.

--Give yourself self-administered foot reflexology sessions right at your desk. Keep a foot roller at your feet to roll your feet on (shoes off) during the day. This can stimulate reflex points on your feet that can relax and invigorate your entire body. Along with foot rollers you can also use a golf ball, racquetball, or tennis ball. Don't forget to keep a pair of comfy slippers under your desk for times you just need to relax your feet.

--Share a healing touch with an office mate. Exchange a nice shoulder rub with each other to relax those "computer tight" shoulder and neck muscles

--Walk outside. Take a 10-minute nature break - and that doesn't mean the rest room! A stroll outside in nature can do wonders for you.

--Freshen your environment. Diffuse essential oils in your office or cubical area so that it smells good, cuts down on unwanted bacteria, viruses, fungus and mold, and delivers more oxygen to your work space.

--Have a voluptuous jade plant on your desk near your computer. Not only does the shiny green color relax you, but the jade plant helps to absorb electromagnetic frequencies that come off of your computer screen.. In fact, many common houseplants detoxify the environment. Keep several types of plants nearby in your workspace. Peace lilies, spider plants, and English Ivy are all good plants to use.

--Fish are fun and relaxing to look at. A pretty and low maintenance fish to have on your desk is the Betta fish. It doesn't need a filtered aquarium to live in and lives on just a few pellets of food a day.

--Keep healthy snacks in your desk drawer to keep your blood sugar levels stable, especially during stressful days and days you skip meals. Mixed nuts, trail mix or healthy protein bars are good to have on hand. Ningxia Red juice packets for on the go are a great healthy energy boost.

Commercial 30 Year Fixed Loan

A new commercial loan program that is similar to the traditional residential 30 year fixed. Loan is fully amortizing over 30 years and the rate is fixed for the entire term.

Relatively new to the industry, this loan program is turning heads. Primary benefit is obvious, knowing that you do not have to worry about future rate increases. Other less well know benefits include ability to pay down loan by 20% per year, 90% financing on purchases for owner occupants and rates/fees right in line with traditional loans.

As a comparison, traditional loans are fixed for 5 years and amortized over 20 years. At the end of the 5 years the loan balloons and rate is reset at market conditions.

"How? And why haven't I heard of it before?"

The evolving commercial secondary market is the source of this loan program (and others). Historically, banks originated and funded loans basically with their own money, primarily from deposits. They were (and still are) at direct risk of losing that capital should the borrower default on the loan.

The secondary market is different than the traditional system. Loans are instead "pooled" together creating greater diversification and thus less risk for the entities holding onto the loans (like insurance companies/pension funds). Pools are typically in the $100's of millions, comprised of 100's of individual loans spread out geographically and by different building types.

This diversification is one of the fundamentally differences, that enable major instructional lenders to create and underwrite loans outside of the norm.

"What are the negatives?"

Few. Prepayment penalties are slightly higher than traditional loans and rates can be higher on high loan to value scenarios. Although this is not a solid comparison, most bank financing only goes to 80% loan to value vs. 90% loan to value on this loan.

Mistake Number 2 Prospective Franchisees Make in Purchasing a Franchise

Failure to read, understand and ask questions about the disclosure agreement.

The same scenario as Mistake Number 1, the only difference is that a disclosure document does not require your signature. The law is very clear on the issuance of this document to prospective owners. Before you buy a franchise a disclosure document must be given to you at least ten days prior to signing a franchise agreement. The contents include a history of the franchisor, its management, any lawsuits or bankruptcies, a three-year financial history and a lot of other relevant information.

Once again, the law requires a franchisor to give you a copy of its disclosure document. If the salesperson tells you that an offering is exempt from the FTC requirement, ask to see a document that upholds that opinion. Call the state agency or local FTC office for verification of the exemption. Don't, under any circumstances, continue to deal with the company any further until you are satisfied that it is not a franchise.

What constitutes a Franchise? According to the FTC rule there are three common elements: (1) the distribution of goods and services associated with the franchisors trademark (e.g., Arby's, Burger King, Midas Mufflers), (2) significant control or significant assistance to the franchisee's method of operation (e.g. direct operational help) and (3) required payments by the franchise to the franchisor (e.g., franchise fee). Any time these elements are present you have a franchise and it falls under the disclosure rule.

Enduring Power of Attorney Being Phased Out Last Month to Act

In the UK the new mental capacity act is due to come into force on the first Monday in April 2007.

The Act governs decision-making on behalf of adults who lack mental capacity, both where they lose capacity at some point in their lives, and where the incapacitating condition has been present since birth.

This act covers all decisions, including personal welfare and financial matters, and covers decision-making on their behalf by attorneys, or court-appointed "deputies". It also clarifies the position if formal process has not been adopted.

As things stand today you can draw up a basic Power of Attorney to have someone act for you and help with straightforward tasks such as fetching money from the bank. But it runs out once you become unable to manage your affairs. An Enduring Power of Attorney or EPA provides more facilities than a standard power of attorney. With an EPA you hand power over your property and money to someone else you trust. The power can start right now while you are well if you want it to, but the point is that it continues when you're unable to manage.

The person to whom the arrangement applies is called the "donor" and once the donor becomes mentally incapable, the "attorney" he or she has appointed has to apply to the Court of Protection to have the EPA registered and pay a fee of 120.

Existing arrangements will be allowed to continue, but from October 2007 anyone wanting to put control of their money and property into the hands of a trusted family member or friend will have to follow a new procedure.

The EPA is to be replaced by a new Lasting Power of Attorney. A Lasting Power of Attorney (LPA) is a new statutory form of power of attorney created by the Mental Capacity Act.

Anyone who has capacity to do so may choose a person (an "attorney") to take decisions on their behalf if they subsequently lose capacity. The LPA will replace the Enduring Power of Attorney (EPA) currently provided for by the Enduring Powers of Attorney Act 1985. Unlike an EPA, an LPA can extend to personal welfare matters as well as property and affairs

But the Lasting Power of Attorney will only be valid once it is registered with what's called the Office of the Public Guardian and a new fee paid to the Public Guardianship Office. The proposed new fee is 150 for each portion of the LPA, that is the financial portion and the welfare portion.

Also, there will be added layer of security against any unscrupulous manipulation of the system to steal money or property. The new LPA cannot operate until it is registered. It cannot be registered without a signed certificate from a reputable person confirming that the donor is of sound mind. At the time of writing this article it is unclear as to the exact definition of a reputable person, it maybe that you have to consult your family GP in order to obtain the certificate before the LPA can be drawn up.

My advice is to seriously consider creating an EPA now you have less than 30 days before you will have top go down the LPA route. Which will be more time consuming and expensive than getting an EPA drawn up. The cost of drawing up and EPA could be as little as 70 and could save you a great deal of time and money in the future.

Many companies like my own include an EPA as an integral part of the more complex inheritance tax saving wills, so you could even put you EPA in place a little or no cost.

Trade shows are well known as suitable venues for selling franchises. Trade shows aren't looking to attract franchise buyers; they're focusing instead on attracting target audience. That target market could be your franchise company's industry. The National Restaurant Association Show, for example, would be an ideal event for showcasing a restaurant franchise. However, there are distinct differences between franchise expos and industry trade shows. The following tips are specifically geared for trade show exhibitions.

First, make sure the trade show you have in mind is a good fit for your franchise concept. All trade shows do a great job of tracking the kind of information that will help you evaluate if the audience is indeed your target market.
Trade shows often draw a national or even an international crowd. Instead of weekends, they are often held during the week. And instead of lingering after the show, attendees are eager to go home at the end. Any meetings, seminars, or receptions should be scheduled as early in the show as possible.
Industry shows are often large. Some have thousands of exhibitors. To get noticed, start advertising in appropriate trade publications several months in advance. "Come visit us in Booth #___" will help ensure your prospects will seek you out rather than get lost in the sea of activity.
Trade shows tend to be a better match for franchise concepts that require a larger initial investment. The general rule of thumb is franchise expos work best when the investment requirement is less than $250,000.

What I Learned From My First Franchise Exhibition

I launched my business properly for the first time at the franchise exhibition last Friday and Saturday. Up till now I have not felt ready to exhibit as I did not feel that our platform was 100% complete.

For us, exhibiting at the National Franchise Exhibition at the NEC in Birmingham was a resounding success. I think the total cost of our stand including design and build was approximately double the average stand of the same size but it did pay off as our stand was one of the busier ones.

I definitely think it was worth our while paying a little more for a custom built stand rather then using the shell system that most other franchisors were using.

We also hired two large flat screen plasma monitors. The two 42" screens cost $600 dollars to hire, install and takeaway... but they were worth it. Our video and digital brochure was live on both screens and this certainly attracted the punters.

On the first day we made a lot of mistakes! We did not have a system in place and everybody who helped us man the stand, pretty much did what they wanted.

At night we evaluated our day and felt we could have done a lot better!

Many of the enquiry forms had not been filled in correctly and so we decided that after the punter had filled in his / her details in the form we were to ask them again, their first name, last name, email address and phone number and write it in duplicate at the bottom of the form.

We decided to use our people more effectively. Zak and Uzma were really good at making initial contact and directing people to our stand. They stood outside the stand and greeted people as they passed by. Their sole purpose was to get people into our stand.

David, Zubeir, Priyesh and Jamie were very good at explaining the concept and demonstrating it on their laptops. They were each assigned a station and I have to say that they did a great job. I believe that it was a great idea asking our franchisees to help us man our stand.

Finally, all really warm enquiries were passed on to me so that potential franchisees could have a chance to evaluate the man behind the concept. This also gave me a chance to study them and see if they would be right for our business model.

I definitely believe that it is worth spending more money on a custom built stand and having some features that stand out. On our stand we had a little man (not real) sitting on top of our stand!

I noticed that all the stands that had unusual features were a lot busier then your standard shell systems.

Networking Groups - Acting Like a Host

I still remember the first time I walked into a Chamber of Commerce networking event. At least a hundred people circulated around the room, chatting and eating their lunches. Many obviously knew each other well. I, on the other hand, felt distinctly like an outsider. I spent most of that lunch trying hard not to be noticed. I know -- completely backward, right? I didn't yet know about the networking rule that I should "act like a host and not a guest." In other words, by making it my goal to make other people feel welcomed and comfortable, I automatically include myself as a part of the "in crowd."

Ironically, what works so well in the microcosm of a single Chamber luncheon, also applies to networking efforts in general.

If you wanted, you could spend every moment of every day networking. Unfortunately, this doesn't leave much time for the actual pursuit of business. To make our efforts both more effective and efficient, we have a variety of organizations and associations we can join. Again, so as not to spend all of our time networking, it's usually best to pick at most two or three groups in which to participate. I use the word "participate" intentionally. Just belonging isn't enough. If we want the group to work for us, we need to find some way to contribute to the group.

How do you go about doing that? Get active! Every single organization in which you could participate has some smaller subgroup which acts as the "host of the party." Whether it's the policy committee, the golf outing planning group, or the new member welcome wagon, they all act to serve the membership of the organization. By being a part of one of these subgroups, the general membership sees you as someone who values the organization and, by extension, the individual members themselves. You suddenly become someone they want to know.

Of course, you shouldn't take part in such a group if it means devoting so much time that your business will suffer. Often, though, the commitment ends up being no more than three or four hours per month. Some of that might even be time that you would have spent on the organization anyway. For example, if you attend the same monthly meeting on a regular basis, getting on the planning committee for that event will probably only mean investing an hour or two more. It also has the advantage of bringing you to the attention of the permanent staff of the organization. Remember they know pretty much everyone. They are the ones who can really make your networking efforts pay off.

The other neat thing? Most of the other people in these groups also "get it". They tend to be serious business people and know the value of good networking. They, like you, know the importance of joining a group because you expect you have something to contribute. By joining their committee, commission, or board, you've not only singled yourself out as a serious networker, but you've also made it easy for them to meet with you on a regular basis.

All business people share one thing in common. Time is the one precious non-renewable resource at our disposal. We need to make any expenditure of that time as efficient and effective as possible. So, "act like a host, not a guest" in all of your networking, whether it's a mixer or your membership in a organization. You'll be surprised at how much more you get out of both.

Oil painting is a wonderful medium all on its own, but there are modifiers that you can add to the oil paint that can change its behavior. This article will give you an overview of some of the more popular oil painting mediums available to today's oil painters. The use of oil painting mediums is really a matter of taste and not a requirement. Many artists do not use any mediums at all other then a bit of oil to make the paint more workable, as some paints are quite thick straight from the tube. Other artists swear by certain mediums. It should also be noted that artists differ on opinion when it comes to the effectiveness and quality of oil painting mediums, so you should experiment on your own and form your own opinion. Make sure before using any oil painting medium that you read all warning labels and always work in a well ventilated area. It is also recommended that you work with gloves to protect your skin.

LINSEED OIL

Linseed oil is made from the seed of the flax plant. During its early history, linseed oil had a different role then it has today. Originally it was used as a final varnish for paintings that were created using the egg tempera medium. Linseed oil is used as binder in today's oil paints. Linseed oil dries thoroughly and forms a strong paint film. Because linseed oil dries slowly, the paint remains in a workable state, enabling the artist to continue working on the painting for some time. When linseed oil ages, it does tend to yellow unfortunately. Many painters avoid using linseed oil with lighter colors like whites and yellows. Below are a few varieties of linseed oils that are available to today's oil painters.

COLD PRESSED LINSEED OIL

Cold pressed linseed oil is made by extracting the oils from the raw flaxseed. The oil is extracted by using pressure and not heat, thereby creating a linseed oil in its purist form. Cold pressed linseed oil can be used as a binder in oil paints, but can also be used as a medium to thin oil paints, heighten gloss and transparency, and reduce the visibility of brush strokes. Many painters and manufacturers alike feel cold pressed linseed oil is superior in quality to other linseed oils because there is no refinement made to the oil. Cold pressed linseed oil results in a low yield, so this oil does carry a heftier price tag.

STEAM PRESSED OR REFINED LINSEED OIL

When the flaxseed is steam heated and then pressed it yields more oil, thereby making refined linseed oil a more affordable medium for artists and for use as a binder in oil paints. The process of steam heating the flax seeds produces more waste, so this waste has to be removed through a refinement process. The oil is treated with an acid which removes the waste materials. The acid is then neutralized with an alkali solution. Refined linseed oil can be used to thin oil paint and increase brilliance and transparency.

SUN THICKENED LINSEED OIL

Sun thickened linseed oil is a thick bodied medium that is produced using the heat of the sun. An equal amount of both linseed oil and water are mixed together in a container and left in sunlight for several weeks or longer. The water and linseed oil eventually separate resulting in a thicker oil with a honey like consistency. Sun thickened linseed oil is not used as a binder in oil paints but as an independent medium that improves flow and increases gloss. Sun thickened linseed oil has less of a tendency to yellow and speeds drying.

STAND OIL

Stand oil is also a thick bodied medium like sun thickened linseed oil. Linseed oil is heated at a high steady temperature, in an air tight container, which results in a very thick honey like consistency. Stand oil is useful as a glazing medium when mixed with turpentine and damar varnish. Stand oil helps improve the flow and has good resistance to yellowing. Stand oil is a slow drying medium that produces a strong enamel like paint film.

POPPY SEED OIL

Because linseed oil has a tendency to yellow as it ages, other oils have come onto the market. Amongst these oils are poppy seed and safflower oil. Poppy seed oil is extracted from the seeds of the opium poppy. Poppy seed oil is a pale slower drying oil and is less likely to yellow when compared with linseed oil. It is often used with whites, blues and pale colors.

SAFFLOWER OIL

Safflower oil is similar to poppy seed oil in that they both are suitable for whites and light colors. It has less of a tendency to yellow when compared to linseed oil.

WALNUT OIL

Walnut oil is a pale oil that helps make paint more fluid and has good drying power. It has less of a tendency to yellow when compared with linseed oil. Walnut oil has to be stored properly or it can spoil.

LIQUIN

Liquin is a popular oil painting medium. Many artists swear by it and it is definitely worth a try if you have never worked with it before. Liquin improves the flow of oil and alkyd colors and helps in subtle blending and fine detail. It speeds drying and serves as a good medium for glazing.

Colleges want students that are prepared for higher education coursework. The closest match for most high school students are the Advanced Placement courses, commonly called AP classes. AP courses have earned their reputation as challenging, time-intensive classes. These classes add another challenge to an already difficult schedule of high school and college preparation. There are, however, several reasons why AP classes are worth the effort.

1. Drive. AP courses are usually equivalent to college freshman-level classes. College admissions counselors love to see AP courses on your transcript because they demonstrate your desire to succeed at the college level. Even if you dont ace the tests colleges will still admire the effort and guts these tough classes take.

2. Depth. These classes are focused on specialized subjects. There are no general info classes here. These courses allow you the opportunity to examine your interest in a specific field of study. If you enjoy the work then perhaps youve found a major. Or you may learn you arent as interested in a subject.

3. Credit. Success during the AP exam could save you time and money in college. Each AP class is accompanied by an exam in May. The tests are graded on a five point scale, and scoring three or better is good for credit at most schools. This can mean big time college credit. In some instances, a single AP biology class could take the place of two semesters of entry level biology, lab included. AP classes can help you by-pass first year classes and get into the meat of your major sooner. Saving a semester or two of college could save you thousands of dollars, too. But dont count your chickens before they hatch: Check with a potential college on their AP acceptance levels.

4. Grades. Some high schools offer incentives to encourage more students to take AP classes. Some schools weight AP grades on a 5-point scale instead of the traditional 4-point scale. For example, in these AP classes an A would be 5 and a B would be 4. So even if you made a B in the class you could still keep your perfect 4.0 GPA. If you do better, you could raise your GPA above 4.0. You can literally score off the chart!

Of course, there are a few catches to AP classes. Not every high school offers AP classes. Some offer dual-enrollment courses, which allow students to earn credit both in high school and at a local college. Look into this option if AP classes are not available.

Some AP classes may carry extra fees for in-class or test materials. If money is a problem speak with a subject teacher or school counselor. They may be able to waive fees.

Backups can be kept on diskette, CD, DVD, tape or external hard drive. The advantages of these types of back-up is that they are phyiscally dettached from your computer. Do not attempt to re-enstall your data back onto your computer until it has be totally cleaned of all virus's.

Metal Detectors

Several different kinds of metal detectors exist, I will explain how they work while trying not to get too technical. There are three major classes of metal detectors available.

The first type of metal detector is the PI, which stands for Pulse Induction. Pulse induction means that you are creating an electromagnetic pulse that exits the coil, bounces off a target, then returns to the coil giving a report on the target it hit.

Pulse induction detectors are usually more sensitive to smaller and deeper targets. The down side is they also pick up more trash targets and have a difficult time telling good targets apart from bad targets.

Another detector type is the VLF, which stands for Very Low Frequency. This kind of detector is versatile and commonly used. It uses phase demodulation to discriminate between types of metallic objects like iron and gold. It does a good job at telling the difference between good objects, like gold and treasure, and trash such as nails, bottle caps etc.

Yet another is the BFO, or Beat Frequency Oscillator. The beat frequency oscillator is a low cost circuit design. It has two coils, one at the end of the arm of the detector and one in the control box on the handle. These coils form a pair of tuned oscillators. The oscillators are tuned so that the difference in their frequencies is an exact multiple of each other. The presence of any metallic object will produce a change in either oscillator and thus produce an audible beat frequency harmonic tone.

Each of these technologies has trade-offs, usually between cost and their ability to sense small valuable objects. Newer advances are coming every day. Most of these are in the area of using special digital signal processing of the return signal. Every conductive object has a peculiar signature spectrum that tells a bit more about the object and can also be filtered out to separate junk (iron & aluminum) from Gold Treasure. As technologies advance the price for more capable equipment drops. This in turn opens new depths and more trashy areas to be hunted for treasure.

Decorating Outdoor Decks and Patios With Themes

Decks and Patios don't count towards square footage in your home, but they sure do go a long way towards making a home feel larger, more inviting, and fun. Decks and patios can be wonderful places to entertain friends and family, or they can be secluded quiet spots for you to get away from the hustle of everyday life. Whichever you choose... the key to having great decks and patios is to decorate them with a theme.

One popular deck or patio theme is the outdoor barbecue. Now technically this is a function of the area, but using a touch of decorating flair, you can make it into an overall theme too. For instance, putting rustic furniture on your patio or deck would give it a country or western BBQ theme. This works wonderfully when you have a firepit-style barbecue grill, or an outdoor fireplace. If your preference is upscale and classy, and your barbecue equipment is the shiny, fancy, large cookstation-style, try setting up a bistro theme instead.

If you have kids of course, it helps to go with a fun theme instead. A beach theme is an excellent example here: Colorful beach chairs and sun umbrellas set the tone wonderfully. You can even use ropes, sails, nets, and lifeguard floats to hang from the sides of your fun deck, and post flags from different Caribbean or Mediterranean countries on the corners of the deck. Keeping a chest inside of beach paraphernalia - floats, leis, sunglasses, and even a pirate's eye patch will keep your children entertained as you try to prepare dinner.

A country theme is also wonderful for decks and patios. Try using old barrels as both tables and chairs for this theme. To make the chairs: Cut part of the barrel to leave a curved "back", then nail the top into place as a seat. You can even put checkered chair cushions on these to enhance them further. And of course, small decorating touches such as old soda bottles, signs, tools, and flowers help enhance and round out the overall look.

Whatever theme you decide to use on your deck, the essentials are a table and chairs with some extra seating and side tables. If your deck is too small for that, you can simply purchase a couple of Adirondack chairs and side tables to match. Your parties may be smaller, but you can always put a picnic table in the yard to seat more people. Choose your own theme; a deck is a place where you can put your favorite random items to good use. So from Coca-Cola to country to classic, create your own deck decorations and spend the rest of the summer enjoying your friends on your jazzy new deck.

Ease morning responsibilities by preparing all you can the night before. Have children set their clothes out, put toys away and pack their school bags before bed. Set your own clothes out. After dinner, routinely set the breakfast table complete with cereal boxes, bowls and silverware. Set up your coffee maker so you can simply press the on button in the morning. Bag lunches. Whatever you can do in thirty minutes at night will be thirty minutes less awaiting you in the morn-ing when people arent running at their best.

Bodybuilding Diet Mistakes To Avoid At All Costs

1) Eating very little or excessive protein.

Protein is the key nutrient in any bodybuilding diet plan. In order to build muscle one should consume at least 1 gram of protein per pound of lean bodyweight. Less protein can actually hinder one's progress significantly and result in frustration and lack of results. On the other hand excessive protein calories in a diet can be stored as body fat or in some cases used as energy. One gram per pound of lean bodyweight spread over 6 nutritious meals is a great starting point. If you want to build more muscle or you train harder OR you find that you are not recovering as fast you can slowly increase your protein intake to 1.1 grams per pound or 1.25 grams. Protein is the building block for muscle tissue and if you want to build mass OR get ripped you have to start eating more.

2) Eating the wrong types of carbs.

This is one of the most common nutritional mistakes I come across. I see people who want to add muscle and they eat anything for carbs, from chocolate bars & dohnuts to rice & potatoes! Fact of the matter is, not all carbs are created equal and you will be what you eat, eventually! Most people tend to overeat simple carbs (sugars) which give them an almost immediate rise in energy but also an equally sudden slump. A proper bodybuilding diet, whether it's for mass gaining purposes or leaning out, should consist mostly of complex carbs. Complex carbs are digested slowly and released into the bloodstream steadily over a period of time. This provides a steady source of energy for muscles throughout the day. With complex carbs there are no highs and lows in energy as they stay steady throughout the day.

Imagine your energy as a line in a graph. With complex carbs, your energy is a completely straight line, always staying high. With simple carbs, your energy line is like a few mountain peaks. It has a few extreme highs but it's followed by extreme lows as well! Carbs have a very significant effect on the way the body utilizes protein. Carbs have a "protein sparing" effect ie when you eat enough carbs, your body will use the protein you give it only for muscle repairing/building purposes. If you don't give your body enough carbs throughout the day, it will automatically break down protein to synthesize glycogen for energy. It's a process called glycogenesis and it will take place when your body is running low on carbs. If your body starts to break down proteins you will enter a catabolic state and your metabolism will slow down significantly. You will also lose muscle & strength.

3) Cheating too much with the wrong foods.

Cheating in any bodybuilding diet is an absolute must. Whether you are dieting for a contest or trying to gain muscle, you should set a specific day of the week where you will be able to have a cheat meal of your liking. The way you cheat depends 100% on how strict you are with your diet. Bodybuilders who are dieting for a contest are the most strict, limiting their cheat meals to once a week or once every two weeks. On the other hand, bodybuilders who are trying to gain muscle mass cheat more often, maybe 2-3 times a week. It is important however to cheat sensibly and not go overboard! If you eat a gallon of ice cream in one sitting and consume over 3000 calories, what do you think will happen? Most likely, the extra calories from sugars & fat will be stored as body fat! The KEY to cheating is to do it with moderation. If you want to be a bodybuilder you should forget about eating anything you want. I don't care how fast your metabolism is! If you eat a ton of cheat meals, it will backfire on you and your progress will slow down.

4) Thinking supplements as the "holy grail".

Nutritional supplements are exactly what they describe! They are there to supplement your diet in case you cannot eat enough nutrients from solid natural foods. Nothing on earth can substitute the power and metabolic effects of natural foods. Supplements provide mostly conveniency when we don't have time to cook but they are in no way better than food. Do not look at supplements as the "solution" to your lack of progress. Yes, some of them do provide an extra boost in strength or fat loss BUT if you do not have a solid diet & training program as the foundation of your bodybuilding goals, supplements will do very little for you.

5) Not eating enough fats & fatty acids.

All fat is not created equal! Eating some fats can actually help you gain mass and keep your body healthy. Most people try to avoid fats like the plague but this approach can actually hinder their mass gaining or fat loss efforts. Egg yolks, virgin olive oil, canola oil, flaxseed oil, natural peanut butter & fish oils are all excellent sources of healthy fats. These not only support a healthy metabolism & hormone production but can provide healthy calories for your bulking up bodybuilding diet. Stay away from saturated fats & trans fatty acids at all costs! They will ruin your physique and cause havoc to your body & health.

6) Not having variety in your diet.

I asked a bodybuilder friend of mine recently how his diet was. His reply was typical: "You know, Kostas, chicken breasts, brown rice, steak, tuna, more rice, baked potatoes..the usual". Don't get me wrong, all of these foods are top of the line for your bodybuilding diets but you can add MORE! Eating the same thing day in day out is really boring. I have eaten so much canned tuna that i cannot even stand to look at it anymore! A bodybuilding diet is a HEALTHY diet first and foremost. Variety is very important - not only for health's sake but also for your mind's sake. Having variety will help you enjoy your nutritional program for years to come and you will also cheat less. 7) Failing to track calories on a daily basis.

Experts say to measure portions, measure plate fulls or just eat as much as you can (when bulking). I find all this completely wrong. In order to make real progress and see how your body is reacting to your specific diet, you need to accurately track calories. If you do not, you are setting yourself up for frustration. Knowing how many calories you are consuming on any given day can help you make necessary changes if you are not seeing the results you want. You can either keep a diary of your daily calories or you can add them up in excel. Counting calories can be a tedious process at first but you get used to it really fast. Eventually you'll be able to add everything up in your head automatically!

8) Overeating.

If you are trying to gain weight be careful not to fall pray to the "experts" who say that you have to eat everything in sight. Yes, you most definately have to eat a large number of calories & meals every day but that does not mean that you have to stuff yourself like there's no tomorrow! Overeating calories & especially sugars will only make you gain body fat. You can gain a tremendous amount of weight & mass even if you eat clean foods! The only thing you have to do is eat more of them!!

9) Making big changes all at once.

Changing your diet all of a sudden and following a Mr. Olympia's diet will not do you any good. You will end up gaining body fat or starving your muscles. If you want to change your diet, make sure you do so by either increasing or decreasing your calories over a period of time. Start by adding 100 calories every 3-5 days until you have reached the desired caloric intake. Once you reach the desired caloric level keep close track of your body weight & body fat percentage in order to assess whether the new changes in your diet are beneficial or not.

10) Not drinking enough water.

Water is probably one of the most important ingredients for life. Over 70% of our muscles consist of water. Water is needed for all metabolic processes, including protein synthesis. It helps get rid of toxins, it is important in fat metabolism and it can reduce fluid retention. A good rule of thumb is to drink 10 cups of water per day, increasing it during the summer months and during hardcore training sessions. Even the slightest bit of dehydration can make you feel sluggish and hold you back during your training sessions. Never ignore water intake!!

Want To Strengthen Your Relationship

Open your mouth. What do I mean? Talk say whats on your mind. Walking around with a chip on your shoulder will not strengthen your relationship. It will only create more distance between you and your mate. If you cant find the right words to say, write a letter. You may think that not saying something will make the issue or problem go away it wont. What it will do is build resentment towards your mate and open up the door for other problems to crawl in.

Zip it. You must think Im nuts telling you to talk and now Im telling you to zip it. What I mean is this after you have said your piece, listen with your heart for understanding instead of gathering information to be used as ammunition. Do your best to not interrupt while your mate is speaking.

Use tact. Say whats on your mind honestly and with as much love, kindness, respect and consideration. Remove criticism, contempt and defensiveness from your delivery. In your reply, use words like, So what I hear you saying is or If I heard you correctly, what you mean is this Statements like these let your mate know that you care.

Fix it. Repair any damage done in an argument immediately. If youve said something you know you shouldnt have said, apologize today not tomorrow and never go to sleep without saying I love you. There is no guarantee that you will wake up.

Let it flow. Dont expect conflict to be resolved once and for all. Allow for continued discussion. Effective communication takes time. Trial and error is necessary in order to become a master at any skill. The same holds true for great communication.

Take a break. If the disagreement begins and continues in a harsh way, take a break and continue later. Little is accomplished with two hot heads in the room. Better results are guaranteed when you are calm, cool and collected.

Own up. Im a huge fan of self-responsibility. Stop blaming your mate and acknowledge your responsibility in whats causing troubles in your relationship. If you screwed up and know you are dead wrong for what you did or said, own up!

In the quilting world, heirloom machine quilting is now becoming extremely popular. The reason seems to be a book by Harriet Hargrave's that came out in 1985 called Heirloom Machine Quilting.

It provides the user with a comprehensive guide on how to make hand quilted effects using a sewing machine.

However there is one tool that is extremely important for a person to help them produce the best heirloom machine quilts possible. This is the walking foot or even feed foot. It allows a person to develop their skills when first starting out using a machine to produce their quilts. Quite a few home sewing machines now come with a built in walking foot, or if they do not, then you can easily purchase one as an additional attachment to the machine you already have. However in order to know whether you can purchase a walking foot for your machine you will need to find out whether it has a low or high shank or an exception. This particular type of foot allows you to make both straight lines and gentle curving lines on your quilts, but if you are looking for something to create some more elaborate lines on your quilt there are other types of feet you should be considering for your machine.

A free motion foot, darning foot or open toed embroidery foot all allow the user to create either stippling curves or feathers on their quilts. These types of feet allow you to move not just forwards but backwards on the material also. Plus you can move in all directions.

As well as choosing the type of foot you want for your sewing machine you will also need to look for one which allows you the best visibility possible in all directions when using your machine.

But if you want to create the most beautiful pieces of machine quilting possible you will also need to ensure you create as smooth and flat a surface as possible around the needle itself. By creating a flat surface you prevent the weight of the quilt from pulling the needle in the wrong direction whilst you are sewing.

Keeping these factors in mind when it comes to heirloom machine quilting will help to ensure that you can produce the most beautifully crafted quilts possible. This will then in turn have people asking you just how long it took you to produce the handmade quilt they see lying on your bed.

Computer Internal Clocks - What Are Your Choices?

The internal clock value is obtained through an operating system, it is in an hour-minute-millisecond format. However, while internal clocks of computers are very accurate in terms of measuring elapsed time, the indicated time on any particular computer is probably not correct in the absolute sense.But like the watch on your wrist and the clock on your wall, most computer clocks are off by a few seconds or minutes. Also computer internal clocks are not synchronized with each other.

Conventional personal computers are required to be connected to the Internet in order to obtain an atomic clock signal that can update a clock of the personal computer (PC). Current operating system software permits access to the atomic clock broadcast to update the PC clock as long as there is an Internet connection for broadcasting the atomic clock signal to the computer. Also, heat can have an affect on crystal operation, and this condition may lead to inaccuracy in the clock time output of the time-keeper clock. The computer includes a tuner that can receive a broadcast signal with the atomic clock signal. The logic circuit includes a standard circuit that compares the time values of the atomic clock signal,clock time output, and a standard circuit that generates a control signal with a value that is dependent on the difference between the time values of the atomic clock signal and clock time output.

How Much Bandwidth is Required for VoIP Phones?

A long-standing question for potential VoIP (Voice over Internet Protocol) consumers is How much bandwidth does a VoIP phone require to make quality telephone calls?

First of all, Bandwidth is defined as the ability to transfer data (such as a VoIP telephone call) from one point to another in a fixed amount of time. The higher the bandwidth speed you have, the more data you can send over your Broadband Internet connection.

There are two types of bandwidth at your location: upload bandwidth and download bandwidth. The Upload Bandwidth is the amount of data you can send to the Internet and download bandwidth is the amount of data you can receive from the Internet. The more Internet bandwidth you have from your ISP (Internet Service Provider) the better.

In most cases, the normal VoIP telephone call will use up 90 Kbps (kilobits per second). If you have a Broadband Internet service provider that doesnt offer much bandwidth then most VoIP providers give you the option to lower the VoIP voice quality by lowering the bandwidth used for VoIP calls to 60 Kbps or, to really conserve your bandwidth, 30 Kbps. Most people can't tell the difference between the three settings. We suggest you use the high sound quality setting (90 Kpbs in most cases), if bandwidth is not an issue. High VoIP voice quality is generally the default setting but if you are running into a situation where your bandwidth is limited then you can adjust your VoIP bandwidth to one of the lower settings. Some consumers with 128 Kbps upload connections can receive less VoIP service quality due to a poor quality ISP (Internet Service Provider). By selecting a lower quality VoIP bandwidth setting, this problem can be avoided.

If you plan on using a VoIP service provider, should you get a DSL or a Cable Internet access provider? In general, DSL upload bandwidth starts at 128k where as Cable Internet upload bandwidth starts at around 600k. Cable Internet is a little bit more expensive, but it is also about 4-5 times faster than residential DSL and a bit friendlier to a VoIP telephone call. Having said that, both DSL and cable modem high-speed services provide sufficient broadband Internet access bandwidth to support any of the top VoIP service providers. Toddler Flashback

Oops! What's the matter? Has it been so long that you cant actually remember what it was like to be a toddler? Here let me take you by the hand and guide you there.

Ahh. Take a great big breath and let it out.

Let's pretend... for just a few moments...

Here we are vacationing in a foreign country where everything seems absolutely perfect. You don't know the language; but that's okay because Nana Anna is here to take care of you. I decide to put you in your comfy stroller and take you for a little walk to a nearby park so I can push you on the baby swing. You like the way the swinging motion makes you feel because it is a lot like being rocked.

So here we are strolling along down a well-kept little path. Our skin is warm from the glorious sunshine. There isn't a cloud in the sky. The birds are chirping merrily while the crickets make those cool little chirping noises. The trees are so full of bold green leaves it looks like the tree branches go on forever. Bunches and bunches of multicolored wildflowers are waving in the cool and gentle breezes while huge colorful butterflies carefully flit about from one flower to the next.

You're feeling relaxed and more at ease now because for a few moments you get to leave your adult cares behind. You have me to be your nurturing and supportive caregiver who will meet your e-v-e-r-y need...

But all of a sudden a Big Bad Bear comes charging out of the woods, knocks me unconscious, then grabs you and runs off with you. The whole time you are screaming because you can't get away.

You are being taken farther and farther away. You continue to cry for me; but I'm unable to get to you because I wake up with amnesia and don't know my own name or that I was taking care of you.

The Big Bad Bear takes you to a remote village a couple of hours away. He then hands you over to some humans in exchange for a big picnic basket. The humans who so much wanted to have a baby but could not were excited to claim you as their own. They quickly wrap you in a warm baby blanket and try to calm you down. They make funny faces at you, and try to make you laugh.

However, after a little while they have to return to their daily chores. You are left only in a makeshift crib while they work nearby. Your new caregivers live in a remote, underdeveloped little village with no running water or electricity. Due to the lack of modern conveniences there are a lot more chores to be done just to barely exist.

So here you are in a foreign country where the people speak a language of which you have never heard. All it sounds like to you is a bunch of gibberish.

No one is concerned that you can't speak their language because they still have left over ancient belief that kids should be seen and not heard. Therefore, they are not in a hurry to teach you how to speak. And obviously they can't speak your language. You can't even tell them what language you are used to hearing.

On top of all of that you have no clue of how to use sign language to convey your needs, let alone your desires. Even worse, you have limited mobility and dexterity to get things for yourself. For the next two or more years, every day, all day and all night, you have to live with the mentioned conditions AND you have no way to meet your own needs.

If you cry, you have to wait on others to try to figure out what it is you want, and then wait for them to meet your needs IF they are not too busy.

Oh, I almost forgot...

When you finally get whatever it was you wanted whether it's to play with your little homemade toy or cuddle with your blanket, at any given moment without notice or explanation anyone is allowed to take those things away. And you can't do a dang thing about it. You have to peacefully accept what just happened and go on to struggle to get your next need or want met.

Sounds frustrating doesn't it? But that's okay because you were just pretending for a few moments. Imagine really being in that situation for two or more years even with modern conveniences.

Suddenly you realize, it's kind of nice being an adult and being able to take care of your own needs. Now that you have had your little trip back in time, you promise you will work really hard to provide for the needs of your baby.

When the right time comes to have a baby you know you will get all excited over the preparations. You will probably get totally absorbed in picking out the right baby furniture, car seat and all the other gazillion things that are used to raise a modern baby because you don't want to feel like your child is missing out on anything. But even though all the material stuff can be exciting, you know that there are other things that are far more important.

You make a promise to yourself you will enjoy taking the time to interact with your child because from your own experience time flies by and you're faced with the grown up world far too soon. Then you remember how that grown up world can be pretty scary; especially when people you thought you could trust turn out to be people with whom you should not even leave your pet goldfish.

At that moment you decide that when you have a kid you will move heaven and earth to make sure your special love bundle can communicate with you as soon as possible. If a big bad something or someone threatens your child you will want to know about it before it is too late. You know in your heart and soul you dont want to do anything that will put your little angel at risk. Living with the guilt of having not done everything you could to protect your child can be a living h...

More On Piercing The Corporate Veil In Indiana, And The UFTA

This follows-up my May 15, 2007 and May 23, 2007 articles about Indiana law applicable to creditors that want to pierce the corporate veil and that wish to recover under Indiana's Uniform Fraudulent Transfer Act. On July 20, 2007, the Indiana Court of Appeals issued an opinion upholding the trial court's piercing of the corporate veil, normally a difficult thing to do, as well as affirming liability based on the UFTA. See, Four Seasons Manufacturing, Inc. v. 1001 Coliseum, LLC, 2007 Ind. App. LEXIS 1589 (Ind. Ct. App. 2007).

Indianas general principles on piercing. Four Seasons, on page 12, sets out these guidelines:

1. Indiana courts are reluctant to disregard the corporate identity and do so only to protect third parties from fraud or injustice when transacting business with a corporate entity.

2. The process of piercing a corporate veil is equitable in nature, and courts necessarily engage in a highly fact-sensitive inquiry.

3. Parties seeking to pierce the corporate veil bear the burden of establishing that the corporation was so ignored, controlled or manipulated that it was merely the instrumentality of another and that the misuse of the corporate form would constitute a fraud or promote injustice.

Factors to be considered. To get to individual owners, the following evidence may be considered (see, pp. 12 and 13):

1. Undercapitalization;

2. Absence of corporate records;

3. Fraudulent representation by corporation shareholders or directors;

4. Use of the corporation to promote fraud, injustice or illegal activities;

5. Payment by the corporation of individual obligations;

6. Commingling of assets and affairs;

7. Failure to observe required corporate formalities; or

8. Other shareholder acts or conduct ignoring, controlling or manipulating the corporate forum.

To get to other entities, in addition to the eight factors above, Indiana courts consider these:

1. Similar corporate names were used;

2. The corporations shared common principal corporate officers, directors, and employees;

3. The business purposes of the corporations were similar; and

4. The corporations were located in the same offices and used the same telephone numbers and business cards.

Importantly, each of the above factors does not need to be proven in order to pierce a corporate veil. The list is non-exhaustive. There does not necessarily need to be evidence of every factor. Id. at 16. In Four Seasons, the Court of Appeals held that the plaintiff commercial lessor (creditor) presented adequate evidence that the defendant entity basically orchestrated a fraudulent purchase agreement between two related entities (both of which were owned by the defendant) in order to shield those entities from liability associated with a lease default.

Uniform Fraudulent Transfer Act. Actions pursuant to the UFTA and proceedings to pierce the corporate veil sometimes go hand in hand. Four Seasons is one of those cases. Indeed the plaintiff was able to recover its damages from the corporate owner of the defaulting entity/lessee under the piercing theory and, alternatively, the fraudulent transfer theory. One specific question in Four Seasons was whether the defendant was a debtor under the UFTA, Ind. Code 32-18-2. A debtor is a person who is liable on a claim. I.C. 32-18-2-6. The Court of Appeals held that the defendant entity was a debtor because it coordinated the fraudulent transfer at issue. Also important was the fact that the defendant was the 100% owner of both the defaulting lessee and the entity that purchased the lessee at the time of the default.

The remedies provision of the UFTA, I.C. 32-18-2-7, focuses on the amount of the fraudulent transfer no more, no less. In Four Seasons, the UFTA damages consisted of the value of assets the defendant entity fraudulently transferred between one entity to the other entity in order to avoid a judgment based on the lease breach. Id. at 22-24. That amount consisted of the value of the assets that the breaching entity (the corporate lessee) possessed upon default the same amount of money fraudulently transferred out of that entity to the second, related entity.

The Four Seasons case offers secured lenders guidance when faced with decisions concerning whether to pursue the assets of individuals or entities other than those of the actual borrowers. Piercing the corporate veil and UFTA actions can be expensive and time-consuming cases, not to mention difficult ones to win. This and other recent Indiana cases demonstrate, however, that it can be done under certain circumstances.

If you are making your own homemade wines, it only makes perfect sense to make your own homemade labels. If you don't have Microsoft Office, there is a free program at openoffice.org that will do the task of creating your homemade wine labels just fine. It is up to you how fancy you want your labels to be. They can be plain and just have the immediate information on them or you can get artistic and add some design onto your wine bottles.

I recommend going to your favorite wine store for ideas. Check out the labels on the other small vineyards bottles. You will find many labels that look like they made them on a computer! You may even find a few winery labels of less quality than you will be creating.

Start with a graphic for the homemade wine label that will "brand" you. When in the store I am sure you found many types of animals like zebras, elephants, kangaroos, as well as logos like tipped over wine glasses and such. Try to think of a simple graphic that will convey your attitude or character. Perkins Loan Overview: The US Department of Education gives a specified amount of money to each college or university. These colleges and university then give out the money in what is called a Perkins Loan.

Eligibility: In order to receive the Federal Perkins loan, students must meet certain requirements. Among these are: being a United States citizen, attending school no less than half time and enrolling at an accredited school.

Both graduates and undergraduates can apply for the Perkins Loan. The Perkins Loan is a wonderful option for students who are in great financial need because it only has a 5% interest rate. Plus, the government pays the interest during the time in which the student is in school and also nine months after graduation.

Applying: To apply for a Perkins Loan the student must submit a free application for Federal student aid (FAFSA). This can be done at FAFSA.com. The student may or may not receive the loan depending on the time in which they apply for the loan, their colleges funding capacity, and their level of financial need. The individual schools will determine which students have the greatest needs.

When the student is given the Perkins loan, they must maintain it. To do this the student has to show academic progress.

How Much Can I Borrow?: Undergraduates are able get up to $4,000 a year and $20,000 in all. Graduates can borrow up to $6,000 a year and $40,000 in all.

After You've Been Granted a Loan: After you are granted a Perkins Loan, you'll either receive a check in the mail from your school or you'll notice that credits have been added to your school account. The Schools will usually make two installments per academic year.

You'll never be charged fees for the Perkins Loan unless you pay late, miss payments, or only give partial payments.

Warning: If you are a flag waving, card carrying member of the Affiliate Marketing fraternity, this article will seriously trouble you. It is based on a quite lengthy comment by a highly successful marketer who was contributing to an ongoing discussion at the Warrior internet marketing forum.

The topic being discussed was whether affiliate marketing or product creation was best. There were keen advocates on both sides, as you'd expect.

The most telling blow in the whole discussion came from one chap, a highly successful marketer. Let's call him Andy. If you've been around the Internet Marketing scene for any time, you'd probably know his real name if I mentioned it.

Andy shared the fact that he had paid out a FIVE FIGURE SUM in affiliate commissions last month. That is, his affiliates had sold enough of his products that Andy had paid at least $10,000 in commissions (perhaps a great deal more) to those affiliates. That means his sales figures last month were at very least $20,000 if he is paying commissions of 50% which I believe he does.

With sales figures like this, and the fact that he uses his own name at the Warrior forum (he is not hiding behind a pseudonym), Andy has significant credibility.

So I paid special attention to what he EXPOSED, which in my words was this:

* Product owners would prefer you focus on affiliate marketing because you will promote their products.

* Product owners don't want any new competition, so they encourage you to promote their stuff rather than create your own.

Not ice that in all of this, there's nothing about what is best for YOU.

Andy also made the point that his highest earning affiliates all have their own products or services or they are experts. Think about that.

Andy's recommendation is to create your own products and supplement the income that comes from them with affiliate recommendations.
